California Transparency in Supply Chains Act Disclosure

The following disclosure is provided by MANN+HUMMEL USA, Inc., MANN+HUMMEL Filtration Technology US LLC and MANN+HUMMEL Purolator Filters LLC (collectively, “MANN+HUMMEL”) in accordance with the California Transparency in Supply Chains Act of 2010 (“SB 657”), which requires companies of a certain size to disclose any efforts they are taking to combat slavery and trafficking in their supply chains:

We do not accept slavery or human trafficking anywhere in our supply chain: MANN+HUMMEL has a longstanding commitment to the ethical and responsible sourcing of goods and supplies for our products.  MANN+HUMMEL’s agreements with its suppliers require them to comply with all applicable laws and regulations, including those prohibiting the use of child, forced, trafficked, prison, bonded, and indentured labor, as well as forced overtime. We take such issues very seriously and will not hesitate to end business relations with a vendor who is unable to comply with our terms.

We work with suppliers in low-risk areas: Because it would be infeasible for MANN+HUMMEL to regularly audit each of its thousands of suppliers around the world, MANN+HUMMEL orders its supplies, wherever possible, from suppliers in those countries that have and enforce strict labor laws, including those that prohibit slavery and trafficking. We monitor the list of goods and regions that the United States Department of Labor has identified as being vulnerable to forced labor, and in the case that a supplier is found not to be compliant with our terms, we will work with that vendor to help it improve its working conditions so that it becomes compliant.

We have the right to require certification of compliance: MANN+HUMMEL’s agreements with its suppliers permit MANN+HUMMEL to require suppliers to provide such certificates or reports of legal compliance upon request.

We require all employees to uphold our ethical and legal standards: All MANN+HUMMEL employees are required to comply with our written, company-wide Code of Conduct that promotes honest and ethical conduct and legal and regulatory compliance.  Our Code of Conduct requires all employees to follow all applicable laws, including those prohibiting forced labor or trafficking.

We train our employees to report ethical and legal violations: Employees who work with MANN+HUMMEL’s supply chain are required to know the terms of its Code of Conduct and any applicable laws for the areas in which they work.  MANN+HUMMEL takes any reports of noncompliance seriously.
